VP Legal & Business Affairs, Technicolor HES

Technicolor is hiring a VP Legal & Business Affairs dedicated to its DVD Services business

 

Reporting directly to the Group General Counsel and functionally to the President of the DVD Services business of Technicolor, the Technicolor HES (THES), you will be part of the THES executive team and will play a full and proactive part in the management of the THES. You will ensure that THES operates within the law at all times in all countries THES operates, offer counsel on legal issues, be an effective guardian of the organisation and facilitate business strategies and development, while ensuring legal compliance and limitation of risk exposure.

 

General responsibilities
•    Provide expert and strategic legal advice to President HES, Executive Team and Management
•    Interface to Technicolor Group General Counsel and produce a weekly report and seek guidance on matters of Group Legal Policy 
•    Based on Group Legal Policy, set THES internal governance policies and manage the impact of external factors
•    Evaluate and weigh multiple inputs and impacts of any decision or course of action
•    Anticipate issues and estimate risks strategically
•    Identify proactive solutions that will eliminate or mitigate risks
•    Base your decision-making process on ethics and integrity
•    Create associations of trust and respect with peers, management and all key stakeholders
•    Deal with external parties (regulators, external counsel, politicians, clients) as needed for and on behalf of the company 
•    Attract, develop, direct, motivate and drive performance from team
•    Draft agreements that minimize risks and maximize legal rights
•    Meet legal objectives
•    Deal with complex, significant matters that cut across legal and related areas
•    Keep abreast of legislative changes

 

Specific tasks

1. You are to familiarize yourself with;

  • The Strategic and 3-Year plan and the attendant P&L, and any risk or liabilities associated with it
  • The current business activities and any attendant risks or liabilities associated with it
  • All key customer contracts and agreements terms and conditions and obligations
  • The key concerns of the President, Executive team and Group General Counsel and the priorities of THES and the Group 
  • Audit report and any areas of non-compliance

2. Prepare a risk and liability assessment across all verticals and review with President and CFO
3. Prepare in advance for contract negotiations and renewals and work closely with the Commercial Lead on such negotiations
4. Implement the  Contract Management System applicable to the Group and deploy, incorporating key procurement and supplier and real-estate agreements/contracts. Ensure all contractual agreements are archived and indexed and can be retrieved, and that regular payments, milestone payments, milestone assessments etc., are automated, with proper audit controls/checks by H1 2022
5. Implementing in liaison with the Group an internal compliance program including data protection and privacy
6. Develop an operating charter and establish and agree with Group General Counsel , the President and  CFO, a departmental budget 
7. Interact with Group lawyers in charge, inter alia, of Corporate, Intellectual property and Litigations; evaluate the need for a small team both with contract experience and litigation experience, who are able to add-value in a proactive, supporting and educational manner; the objective is to establish a small but skilled and powerful legal team which does not need to rely upon outside legal counsel, except for extraordinary matters and as agreed with the President and Group General Counsel
8. Provide measurable targets and key tasks for Legal team on an annual basis
9. Responsible for key Legal representations to all institutional and government bodies in all territories where Technicolor HES is present, and ensuring company is in compliance with all government and statutory requirements at all times, and in relation to this, ensure THES is not prejudiced by authorities in any way
10. Propose Legal department initiatives to help deliver the corporate ambitions, and supply advice, guidance on how any legitimate advantage can be gained by THES in respect to its contracts and agreements  
11. Responsible to (a) never let any mandatory operating licenses or permits lapse in any territory, (b) ensure that all fees and payments for such licenses are paid on or before the due date and (d) ensure that any new licenses or permissions are secured against operational timelines so any commercial need for these in the budget/strategy is met
12. Responsible to ensure that THES has all goods and services from suppliers and vendors under proper contract or agreement at all times and that all such contracts going forward, have robust deliverable, penalty and termination clauses which at all times shall favor and be to the benefit of, THES 
13. Responsible for timely preparation of board meeting materials where Legal department has deliverables to Group General Counsel and ensure these are delivered at least one week in advance of meetings
  
Requirements
•    Proven general counselling experience in business environment which has added substantiated value
•    Overall broad legal knowledge (corporate law, litigations, contracts, labor law, compliance, etc)
•    In-depth understanding of how legal issues affect organisations
•    Ability to develop legal strategy and objectives
•    Well-versed in how business operate with financial acumen
•    High degree of professional ethics, integrity and gravitas
•    Excellent judgement and analytical skills
•    First class interpersonal and communication skills
•    Ability to anticipate legal issues or risks and to “see around the corner”
•     J.D. degree
•    Licenced to practice law in one US jurisdiction
•    MA or BSc in Business Administration will be considered an asset
•    15 years of experience within legal department of an international company and managing others 
•    Experience and comfort working in a matrixed organisation across functions
